This is a legally binding agreement between you (the person or entity) here referred to as “You” and LTD NeedSlide here referred to as “NeedSlide”. This license agreement applies without limitation to the website currently at needslide.com and any other version of the foregoing and/or to any content delivered via any media. This software, called NeedSlide.com, and all documents and materials included therein, are referred to herein as “Content”.

Accessing, downloading, and/or using all or any part of any Content from NeedSlide constitutes your agreement to these terms and forms a legal contract between you and NeedSlide.

NeedSlide reserves the right to change any terms of this agreement at any time, and you agree to such changes. If you do not agree with the following terms, that the terms are subject to change, do not download or use any Content.

Accessing, registering, or using all or any part of the Content, you agree to all terms and conditions of this End User License Agreement, referred to herein as “EULA,” and that this agreement is equivalent to a written agreement signed by you. This agreement is enforceable against you and any entity that acquired the Content and on whose behalf it is used. If you do not agree with the terms of this agreement, please do not use this Content.

It is unlawfully and strictly prohibited to distribute, publish, offer for sale, license, or sublicense, provide in whole or in part this software or content in hard copy, digital form, or any other medium, existing or not existing, except as specifically permitted below.

Use of this Content is subject to the terms and conditions outlined in this document. Please read them carefully. This EULA applies to all Documents and Software included in the Content. You will be deemed to have read, understood, and accepted the terms of this EULA when you access or use the Content.

NeedSlide allows you to download, install, use, or otherwise benefit from the functionality and/or intellectual property of the Content only by the terms of this EULA.

1.PROPERTY RIGHTS. NeedSlide retains all ownership, and intellectual property in the Content, including but not limited to all accompanying documentation, files, marketing materials, images, and media. The content is protected by copyright and other intellectual property laws as well as international treaties. Content may include security measures designed to control access and prevent unauthorized copying and use. You agree not to interfere with any such security components.

2.LIMITED LICENSE. You are granted a perpetual, limited, non-exclusive, non-transferable license to use the Content for an Authorized Use (3). You are not permitted to use the Content except as specifically stated in the Permitted Use section (3).

3.PERMITTED USE. Subject to these restrictions and limitations described in the Prohibited Use section (4), the “permitted use” of the Content is as follows:

a.Create derivative works or modifications from the Content, provided that such works are not intended for resale or public publication for free distribution in an editable format.

b.Not for sale or licensing: advertisements, brochures, promotional materials, promotional projects including printed materials, packaging, presentations, video presentations, commercials, promotional cards, postcards.

c.Banners (paper printing), posters (paper printing), and any other reproduction referred to in (b) above, but not for sale, licensing, or other distribution.

d.Professional, business, personal, educational presentations that can be viewed by a wide audience, on a learning or e-learning platform, intranet, or any other content delivery platform that can be sold or licensed to an audience, provided NeedSlide is copyrighted to create the Content used if and only if the purpose of distribution or sale is not the purpose of gaining access to the Content.

e.Publishing entertainment applications such as books, book covers, ebooks, magazines, newspapers, editorials, newsletters, posters and videos, multimedia broadcasts, provided that NeedSlide is copyrighted when using the Content to create.

f.You can use Content for corporate or business style, logo, or branding.
Attention! If NeedSlide Content is used to create a business or corporate identity, logo, or branding for a trademark, registration, or copyright purposes, the derivative will be co-ownership with NeedSlide, unless NeedSlide grants written permission to the requester to establish private ownership of the Content.

g.Internet publications or electronic publications, including websites and web pages (for personal and professional use), blogs (for personal and professional use), provided that NeedSlide has granted the right to use the Content and until the Content is used, licensed, distributed, or resold.

h.Any other use approved by NeedSlide in writing.

i.Modify the Content to suit your needs and the contractual relationship you enter.

4. FORBIDDEN USE.

a.Copy or reproduce Content, except as specifically provided in the Permitted Use section (3).

b.Sell, distribute, sublicense, transfer or assign Content, or transfer the right to access the Content or rights to the Content.

c.Use or display Content on websites or web pages (or similar) to promote or involve the sale, licensing, or other distribution of physical products, including postcards, mugs, T-shirts, posters, and other items.

d.Use, display, include or combine Content in any product that results in the re-distribution or reuse of websites or web pages (or similar) of Content to promote or involve the sale, licensing, or other distribution of digital products, including presentation templates, templates websites, website designs, stock images (including websites specially designed for you).

e.Use Content in template design applications for resale, online or not, including but not limited to website templates, Flash, applets, business card templates, e-greeting card templates, brochure templates, and any editable document templates.

f.Use Content on any posters, banners, or print media (in any physical support) for resale, licensing, or other distribution for profit.

g.Remove all copyrights, trademarks, or watermarks from anywhere in the Content.

h.Use the Content in any way that could be considered defamatory, pornographic, immoral, obscene or fraudulent, or illegal, or by physically altering it with accompanying text or images, or otherwise.

i.Use Content to compete with NeedSlide.

5.CONFIDENTIALITY. Each party agrees that it will not disclose to any third party any customer information, trade secrets, methods, processes or procedures, or any other confidential, financial, or business information of the other party that it learns in the course of their activities under this EULA without the prior written consent of the other party. This commitment will remain in effect upon cancellation or otherwise termination by this EULA.

6.NON-TRANSFER OF RIGHTS. You may not rent, lease, sell, sublicense, assign, or transfer your rights to the Content.

7.PUBLICATION. You must not allude to the existence of this EULA in any press release, website, advertisement, or any publicly distributed or available material without NeedSlide’s prior written consent.

8.LIMITATION OF LIABILITY. Except as required by law, NeedSlide and its employees, directors, licensors, contributors, and agents will not be liable for any direct, indirect, special, incidental, consequential, or approximate damages arising from or in any way related to this EULA, or use or inability to use the Content, including without limitation damage for the loss of goodwill, work stoppage, loss of profit, loss of data, as well as failure or malfunction of the computer, even when reporting the possibility of such losses and regardless of theory (contract, division or other), into on which such a claim is based. NeedSlide’s liability under this EULA is limited to restoring access to downloadable content containing content, and will not exceed ten dollars ($10).

9.DISCLAIMER OF WARRANTIES. You accept the Content “as is” and with all errors (if there are any errors). NeedSlide disclaims all warranties, express or implied, including but not limited to warranties of merchantability and fitness for a particular purpose. NeedSlide makes no warranties or representations about the content and your use or suitability of the content for your specific needs. The content is described in detail but general terms. Your state/province/country may have applicable laws that need to be considered in any final content.

10.VIOLATIONS OF THIS EULA. NeedSlide reserves all rights not expressly granted to you above. NeedSlide will have the right to take legal action against you if you violate NeedSlide’s rights. Any use outside the scope of the specific license outlined in this document will be considered a violation. You acknowledge and agree that NeedSlide will suffer significant damage if you violate this EULA and that NeedSlide will incur irreparable damage if you do so. Therefore, NeedSlide is entitled to a fair remedy, including but not limited to damages, injunctions, statutory damages, attorney fees, and any other remedies available.

11.TERMINATION.

1.NeedSlide has the sole and exclusive right to immediately terminate this EULA and suspend your license to use the Content if you fail to comply with any obligations under this EULA, engage in activities that NeedSlide considers detrimental to its well-being, or if you become bankrupt or insolvent. This license agreement is effective upon installation and/or download and/or use of the Content by you and will remain in effect until terminated. Upon termination of this license agreement with NeedSlide, you must return to NeedSlide the original and all copies of the Content, including partial copies and modifications.

2.You may terminate this EULA by destroying the uploaded Content, any digital storage, or related materials, and cease any use of the Content for any purpose.

3.An active NeedSlide subscription is not required for this license agreement to be effective. You may continue to use the Content under this EULA if your account expires. You will not be allowed access to additional/new Content if your account expires.

12.WAIVER AND SEVERABILITY. NeedSlide’s waiver of a claim for any violation of this EULA does not constitute an amendment to this EULA or NeedSlide’s waiver of a claim for subsequent violations. If any part of this EULA is held invalid and unenforceable, this will not affect the validity of the balance of this EULA, which will remain valid and enforceable by its terms.

13.ELECTRONIC NOTIFICATIONS. You agree that NeedSlide may provide you with information and notices regarding Content via the email address you provide when registering for your account or thereafter. NeedSlide may send you email notifications if you provide NeedSlide with a valid email address, or by posting a notice on the NeedSlide website or Content download site owned and operated by NeedSlide. You can revoke your consent to email notifications.

14.AMENDMENTS. NeedSlide reserves the right to unilaterally change all offers, pricing conditions, or other matters regarding Content, the NeedSlide website, or this EULA. No business relationship or trade custom can be considered a change to the terms of this EULA.

15.COMPLETE AGREEMENT. This is the entire license agreement between the EULA and you to the Content and supersedes any prior statements, discussions, commitments, warranties, communications, or advertisements related to the Content.
